Terms of Service

The terms that apply when you use Uplido to plan, create, manage, and optimize advertising workflows.

Important Notice

These Terms of Service govern your access to and use of Uplido, including our website, workspace, AI-assisted campaign tools, templates, recommendations, billing flows, connected advertising integrations, and related services.

By creating an account, starting a trial, connecting an advertising account, using the workspace, or otherwise using Uplido, you agree to these Terms. If you use Uplido on behalf of a business, agency, client, or other organization, you represent that you have authority to bind that organization.

These Terms are written to be broad because Uplido may be used by customers in different countries. Some rights may vary by location. Where local law gives you mandatory rights that cannot be limited by contract, those rights continue to apply.

What Uplido Is

Uplido is software that helps users plan, create, manage, and optimize advertising workflows, especially Meta advertising workflows. Uplido may generate campaign ideas, ad copy, creative prompts, audience suggestions, strategy notes, optimization recommendations, performance summaries, checklists, and other marketing outputs.

Uplido is a tool. It is not a media buyer, broker, financial advisor, legal advisor, tax advisor, compliance advisor, or guaranteed performance service. Uplido does not buy ads for you unless you expressly approve an action through the product and the connected platform allows that action.

No Performance Guarantee

Uplido does not guarantee revenue, profit, return on ad spend, conversion rate, lead quality, sales volume, account approval, ad approval, campaign delivery, lower cost per acquisition, or any other commercial result.

You understand that advertising results are affected by many factors outside Uplido's control, including your offer, pricing, landing page, product quality, brand reputation, targeting choices, budget, market conditions, creative fatigue, competition, seasonality, tracking setup, payment method, Meta account status, auction dynamics, platform policy enforcement, and user behavior.

You are solely responsible for any money you spend on Meta, Facebook, Instagram, WhatsApp, other advertising platforms, contractors, tools, landing pages, creatives, products, services, or any third-party cost connected to your campaigns. If a campaign created, reviewed, inspired, or optimized using Uplido loses money, fails to perform, is rejected, is disabled, or creates no sales, Uplido is not responsible for reimbursing ad spend, lost revenue, lost profit, platform fees, agency fees, contractor fees, chargebacks, penalties, or business losses.

User Control and Final Responsibility

You remain in control of your advertising decisions. You are responsible for reviewing all Uplido outputs before using them, including strategy, audience suggestions, budgets, copy, creative concepts, claims, targeting, landing page suggestions, and optimization recommendations.

If Uplido provides a draft, suggestion, checklist, estimate, benchmark, warning, or recommended action, you must use your own judgment before approving or relying on it. You agree that Uplido's outputs are informational and assistive, not instructions that must be followed and not a substitute for professional judgment.

AI Output Limitations

Uplido uses automated systems and artificial intelligence. AI outputs can be inaccurate, incomplete, outdated, biased, repetitive, similar to outputs generated for other users, or inappropriate for your specific jurisdiction, product, audience, industry, account, or claim.

You are responsible for verifying factual claims, legal claims, medical claims, financial claims, testimonials, comparisons, guarantees, regulated-product statements, pricing statements, and any other content before use. You should not rely on Uplido as the sole basis for legal, compliance, financial, medical, tax, or advertising-policy decisions.

Advertising Platform Policies

You are responsible for complying with all advertising platform rules, including Meta policies, community standards, commerce policies, restricted category rules, data-use rules, creative specifications, prohibited content rules, and account integrity requirements.

Uplido does not control Meta or any other advertising platform. We do not guarantee that ads, creatives, audiences, landing pages, accounts, pixels, datasets, payment methods, or business managers will be approved, remain active, deliver, or avoid limitation, suspension, rejection, or review.

Meta, Facebook, Instagram, WhatsApp, and related marks belong to their respective owners. Uplido is not endorsed by, sponsored by, or affiliated with Meta unless expressly stated by us in writing.

Your Advertising Spend and Third-Party Costs

Any advertising budget, media spend, platform fee, payment-processing fee, creative cost, contractor cost, app cost, agency fee, chargeback, tax, or other third-party cost is your responsibility. Uplido is not liable for your spend decisions, budget settings, bidding strategy, campaign duration, accidental approvals, platform charges, failed campaigns, rejected ads, disabled accounts, or spend caused by your account settings or connected third-party services.

You should monitor your advertising accounts directly. Do not rely only on Uplido notifications, summaries, or dashboards to detect spend, delivery, approval, rejection, billing, or policy issues.

Account, Login, and Security

You must provide accurate information, keep your login secure, and promptly notify us if you suspect unauthorized access. You are responsible for activity under your account, including actions taken by your employees, contractors, clients, agency users, invited collaborators, or anyone with access to your workspace, email, browser session, connected accounts, or devices.

We may suspend or restrict access if we believe your account creates security risk, legal risk, abuse risk, platform-policy risk, payment risk, or service-integrity risk.

Connected Accounts and Permissions

If you connect Meta, payment, analytics, storage, email, or other third-party accounts, you authorize Uplido to access and process the information and permissions needed to provide the service. You represent that you have the right to connect those accounts and allow Uplido to interact with them.

You are responsible for reviewing permission scopes, revoking access when needed, and ensuring that your use of connected accounts complies with all applicable contracts, laws, platform terms, and client obligations.

Customer Content and License to Operate the Service

You retain ownership of content you submit to Uplido, such as product descriptions, offers, brand information, audience details, creative assets, prompts, campaign data, landing page content, and business materials.

You grant Uplido a worldwide, non-exclusive, royalty-free license to host, store, process, display, reproduce, modify, transmit, and create derivative operational outputs from your content solely to provide, secure, support, improve, and maintain the service, subject to our Privacy Policy.

You represent that your content does not violate law, infringe intellectual property rights, violate privacy or publicity rights, contain unlawful personal data, or breach any contract or platform rule.

Generated Outputs

Subject to these Terms and your compliance with them, you may use outputs generated by Uplido for your business purposes. However, we do not represent that any output is unique, protectable, non-infringing, platform-compliant, legally compliant, accurate, or suitable for your industry or jurisdiction.

Similar or identical outputs may be generated for other users. You are responsible for reviewing, editing, approving, and clearing generated output before publication or commercial use.

Regulated and Sensitive Industries

If you advertise in a regulated or sensitive area, including health, wellness, finance, credit, employment, housing, insurance, education, alcohol, gambling, crypto, supplements, politics, dating, weight loss, minors, or any restricted category, you are responsible for obtaining professional review and ensuring all campaigns comply with laws and platform policies.

Uplido may provide general assistance, but it does not provide jurisdiction-specific legal approval, advertising clearance, claims substantiation, medical review, financial compliance review, or regulated-industry approval.

Acceptable Use

You may not use Uplido to:

Plans, Trial, Billing, and Cancellation

Paid plans include a 3-day free trial with 50 AI messages unless a different offer is shown at checkout. You may cancel during the trial before billing begins. If you do not cancel during the trial, your subscription begins and renews monthly unless cancelled.

Prices, plan limits, features, trial terms, taxes, and currencies may vary by country, offer, customer segment, billing provider, exchange rate, and applicable law. We may change pricing or plan features prospectively. If required by law, we will provide notice before material changes affect an active subscription.

Payments are processed by third-party payment providers. You authorize us and our payment providers to charge applicable subscription fees, taxes, and other amounts due. Failed payments may lead to suspension, downgrade, or cancellation.

Refund Policy

The 3-day free trial with 50 AI messages is the risk-free evaluation period. You can cancel anytime during your trial with one click. If you continue after the trial and your paid subscription begins, subscription payments are non-refundable except where required by law or where we determine there was a duplicate charge, technical billing error, or unauthorized payment.

Cancellation stops future renewal. Unless otherwise stated or required by law, cancelling after payment does not create a refund for the current paid period.

Taxes and International Use

You are responsible for taxes, duties, levies, withholding obligations, reporting obligations, invoices, foreign exchange effects, and any local compliance requirements that apply to your purchase or use of Uplido.

Uplido may be accessed from different countries, but we do not represent that the service, pricing, checkout, integrations, advertising workflows, or generated outputs are available, lawful, or appropriate in every country. You are responsible for complying with your local laws, consumer rules, tax rules, advertising rules, data-transfer rules, export-control rules, sanctions rules, and platform terms.

You may not use Uplido if you are located in, ordinarily resident in, organized under the laws of, or acting for a person or entity in a country or region subject to sanctions, embargoes, or restrictions that prohibit our providing the service.

Service Availability and Changes

We aim to provide a reliable service, but Uplido may be unavailable, delayed, interrupted, inaccurate, or limited because of maintenance, bugs, infrastructure providers, AI providers, internet issues, browser issues, payment providers, third-party APIs, Meta outages, rate limits, policy changes, account permissions, or events outside our control.

We may add, remove, modify, suspend, or discontinue features, integrations, models, plans, pricing, or workflows at any time. We are not liable for losses caused by service changes, downtime, third-party outages, API limitations, model behavior, or discontinued features.

Beta Features and Experiments

Some features may be labeled beta, experimental, preview, early access, or similar. These features may be incomplete, unstable, inaccurate, discontinued, or changed without notice. You use them at your own risk and should not rely on them for critical business decisions without independent verification.

Third-Party Services

Uplido may rely on or integrate with third-party services such as Meta, AI providers, payment processors, hosting providers, database providers, email providers, analytics tools, storage services, and browser/CDN services. Your use of third-party services may be governed by their own terms and policies.

We are not responsible for third-party services, their availability, pricing, accuracy, security incidents, policy enforcement, account decisions, billing decisions, data practices, or changes.

Confidentiality

Non-public information you provide through your account is handled according to our Privacy Policy and reasonable security practices. You agree not to disclose non-public Uplido information, product roadmaps, security details, private betas, pricing exceptions, or technical details unless we authorize it or the information becomes public without your breach.

Intellectual Property

Uplido, including its software, design, workflows, interface, branding, templates, prompts, systems, documentation, and underlying technology, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not transfer ownership of Uplido to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative products from Uplido except as allowed by law or expressly authorized by us in writing.

Feedback

If you send ideas, requests, feedback, bug reports, suggestions, or improvements, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation. We are not obligated to implement or keep feedback confidential unless separately agreed in writing.

Disclaimers

To the maximum extent permitted by law, Uplido is provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, uninterrupted operation, and advertising performance.

We do not warrant that Uplido will meet your requirements, produce profitable campaigns, prevent advertising losses, identify every risk, comply with every platform rule, avoid every policy rejection, or operate without errors or interruptions.

Limitation of Liability

To the maximum extent permitted by law, Uplido and its owners, operators, employees, contractors, affiliates, suppliers, and partners will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost goodwill, loss of data, loss of business opportunity, ad spend, media spend, platform charges, campaign losses, account suspensions, rejected ads, failed launches, business interruption, or cost of substitute services.

To the maximum extent permitted by law, our total liability for all claims connected to the service will not exceed the amount you paid to Uplido for the service in the three months before the event giving rise to the claim, or INR 10,000, whichever is lower. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

Indemnity

You agree to defend, indemnify, and hold harmless Uplido and its owners, operators, employees, contractors, affiliates, suppliers, and partners from claims, damages, losses, liabilities, costs, and expenses arising from or related to your content, campaigns, products, services, advertising claims, platform use, connected accounts, breach of these Terms, violation of law, infringement of rights, client disputes, customer complaints, chargebacks, regulatory inquiries, or your use of Uplido outputs.

Suspension and Termination

We may suspend or terminate access if we believe you violated these Terms, created legal or security risk, failed to pay, abused the service, harmed other users, connected unauthorized accounts, violated platform policies, or used the service in a way that could damage Uplido or others.

You may stop using Uplido at any time. Sections that by their nature should survive termination will survive, including payment obligations, ownership, disclaimers, limitation of liability, indemnity, dispute provisions, and privacy-related provisions.

Disputes, Governing Law, and Venue

These Terms are governed by the laws of India, without regard to conflict-of-law rules, except where mandatory local consumer law requires otherwise. Subject to mandatory law, courts located in India will have exclusive jurisdiction over disputes arising from or related to these Terms or the service.

Before filing a claim, you agree to contact us at support@uplido.com and give us a reasonable opportunity to resolve the issue informally. Any claim must be brought individually and not as a class, collective, representative, or consolidated action where such waiver is permitted by law.

Changes to These Terms

We may update these Terms from time to time. If changes are material, we may provide notice through the website, product, email, or other reasonable means. Continued use after the effective date means you accept the updated Terms.
